Terms of Service

Welcome to webPunk. These Terms of Service ("Terms") govern use of the webPunk platform available at webpunk.com (the "Website") and through name and version of the app (last updated on date) mobile application (the "App").
By using our Services, you agree to these Terms, our Privacy Policy, Community Guidelines, Content Moderation Policy, User-generated Content Disclaimer, and AI Disclaimer which form a part of these Terms. If you do not agree, do not use webPunk.
1. Definitions
In these Terms, our Privacy Policy and all other terms, rules, or texts on webPunk, the terms below have the following meanings.
- "We", "us", "our" — AE Labs Inc., a company incorporated in Canada, with registered address at 1-40 Montclair Ave, Toronto, ON, M4V1W1, Canada.
- "User", "you" — anyone who registered an Account on webPunk.
- "webPunk" — a platform operated by us and available on the Website and through the App.
- "Account" — an account created on webPunk.
- "Amplified Content" — Content submitted for platform-wide visibility and approved for amplification. It is shown to all users, not just followers. Amplification is an optional and fee-based feature. The decision to approve or reject requests for amplification is at our sole discretion.
- "Content" — text, graphics, images, music, software, audio, video, works of authorship of any kind, and information or other materials that are posted, generated, provided or otherwise made available through webPunk.
- "Collectible" — a digital item on webPunk, including usernames, digital fashion, and emotes, which can consist of pictures, animations, audio, photographs, 3D works, GIFS, and any other creative digital work or their combination, delivered as an NFT.
- "Digital Asset" — any cryptographically secured digital item, including Collectibles and cryptocurrencies.
- "Effective Date" — the date these Terms start applying to your use of webPunk and become legally binding between us and you. The Effective Date of each version is stated below under "Last Updated". To see previous versions of these Terms, see our Terms of Service Version History.
- "Feedback" — feedback, comments, and suggestions for improvements to webPunk.
- "Marketplace" — a digital Marketplace for Collectibles as presented on our Website and in our App.
- "NFT" — non-fungible token, an individually identifiable digital token created and exchanged through blockchain technology, which incorporates a Collectible.
- "Services" — services provided on the Website and through the App on "as is" and "as available" basis, in the existing state of affairs, including any faults or problems.
- "Statutory Rights" — rights, warranties, guarantees, and remedies relating to the provision of the Marketplace by us to users conferred on users by applicable consumer protection legislation which cannot be excluded, restricted or modified.
- "Wallet" — a digital storage solution for cryptocurrencies and tokens, including NFTs. Wallets are non-custodial (managed by the user) and are assigned upon registration with webPunk through a third party service provider, Privy.
2. About webPunk
webPunk is a new social media and virtual world platform composed of the following.
2.1. webPunk Social Platform
Time-based, algorithm-free feed. You only see posts of Accounts you choose to follow. Posted Content automatically disappears 24 hours after it is posted.
You can submit your post for amplification. Amplified post is not an ad targeted to a specific audience. Instead, if your post is approved, subject to our sole discretion, everyone on webPunk will see it. Amplification is a paid fixed fee based feature. We reserve the right to change this fee at any time. If we do, the new fee will apply only to future transactions and will be clearly shown before you complete the action. Once you submit your post for amplification, funds are deducted from your Wallet and are stored in a smart contract. If the post is approved, the smart contract finalizes payment; if rejected, funds are automatically refunded.
Real-time messaging supports adding friends, communicating with users through direct messages, creating and joining group conversations, and using party invites. Messaging is based on theXMTP protocol with end-to-end encryption. We do not view message content. Message data, including media, may be stored using Railway and Pinata.
Visual moodboard-style profiles reflect your identity and creativity through the posts you collect.
2.2. machine girl
An embedded AI persona with character and memory powered by the Grok API developed by xAI with voice-based interaction supported via ElevenLabs.
machine girl guides, creates, and evolves with you. She is integrated across the feed, chat, and Secret Society game world, and helps onboard users, answers questions, recommends content, posts in the feed, and reacts in chat.
Chat history is stored locally on your device and is accessible only by you. A copy of the history is stored by xAI in accordance with their Data Processing Addendum.
We are not responsible for the data handling practices of third-party providers. We encourage you to review their respective legal and privacy documents.
By agreeing to these Terms, you agree to our AI Disclaimer.
2.3. Secret Society and Marketplace
A stylized webpunk social massively multiplayer online game (MMO) where creativity, identity, and commerce intersect. You can customize avatars, outfits, and personal rooms. Interact with other users through games, proximity voice chat, and social events.
Secret Society features a Marketplace for Collectibles. All Collectibles are sold "as is" and are subject to availability. You may not reverse-engineer, resell, or use Collectibles in violation of these Terms or applicable law. Purchasing a Collectible grants you a non-exclusive licence to use it within the platform only inspired by the CC BY-NC-ND license, which means that you must give credit to the author of the work, can use the work only for non-commercial purposes and cannot produce any derivatives or adaptations of the work. We reserve the right to revoke licences in cases of violation or abuse. Transactions involving Collectibles are executed on the blockchain, and the consideration for a Collectible is typically a cryptocurrency.
All purchases of Collectibles made through webPunk are final and non‑refundable, except as required by applicable law, and nothing in these Terms excludes your Statutory Rights as a consumer. Subject to your Statutory Rights, we exclude all express and implied warranties, and all material, work, and Services (including the Marketplace) are provided to Users without warranties of any kind, either express or implied, whether in statute, at law or on any other basis.
2.4. Digital Wallets
Upon registration, you are assigned a non-custodial Wallet through a third party service provider, Privy. Wallet allows you to receive, hold, and transfer Digital Assets, subject to the features and limitations set by the provider. We do not operate or control this Wallet service, and your use of it is governed by the provider's own terms and privacy policy. Your access to certain Wallet features may depend on what Privy makes available. We are not responsible for any issues related to the Wallet functionality, including access, availability, security, or transactions.
3. Services Provided "As Is" And "As Available"
The Services are provided "as is" and "as available" without representations, warranties, or conditions of any kind, whether express, implied, legal, or statutory, including implied warranties of merchantability, title, fitness for a particular purpose, and non-infringement. We expressly disclaim all express and implied representations, warranties, promises, conditions and terms that the services are reliable, error-free, free of defects, or will meet your requirements, or that any defects can or will be corrected.
Any description of the Services, features, or functionality in these Terms (or elsewhere on webPunk) is for informational purposes only. It does not guarantee that such Services or features currently exist, will be available at any time, or will work as described.
4. Improvements
We are always improving our Services. We may add or remove features, products, or functionalities. We reserve the right to modify, suspend, or discontinue the Services (in whole or in part) at any time, with or without notice to you.
Any future release, update, or other addition to functionality of the Services will be subject to these Terms, which may be updated from time to time.
You agree that we will not be liable to you or to any third party for any modification, suspension, or discontinuation of the Services or any part thereof.
5. Creating and Managing Your Account
5.1. Access
You must be at least 18 to use the Services. We may request confirmation of your age and may limit access to the Services if it is not verified. If you are under 18, you cannot use the Services.
You must be capable of forming a binding contract with us and not be barred from using the Services under all applicable laws.
By creating an account or accessing the Services, you confirm that you meet these requirements.
5.2 Account Registration
To use our Services, you need to create an Account. When you do this, we collect certain information about you as explained in our Privacy Policy.
An Account is created using your email address via our third party provider, Privy. In some cases, we may require you, in our sole discretion, to provide additional information or documents — for example, to verify your identity, comply with legal or regulatory requirements, prevent fraud, or ensure the security of webPunk. If you do not give us complete and accurate information when requested, we may suspend or deny your access to some or all of our Services.
For each login a one-time code is sent to your email. No password is required. Your recovery seed phrase or private key are available in settings.
We do not have access to your Account and cannot control the actions that you and other users take via your and their Accounts.
You are responsible for maintaining the confidentiality of your Account, and for all activities that occur under your Account, whether or not you know about them. You will immediately notify us if you discover or suspect that someone has accessed your Account without your permission. You will not license, sell, or transfer your Account without our prior written approval.
We will presume that all actions made through your Account are made by you and will take no responsibility for any Account or identity theft and its consequences.
We reserve the right to deny you registration if we reasonably believe that you provided inaccurate, insufficient, incomplete, or untrue information or documents during your registration and verification.
We retain the discretion to cancel your registration at any time in response to regulatory requirements, dispute resolutions, or other relevant circumstances.
5.3 Account Termination
You may terminate your Account by deleting it and discontinuing use of all Services
You can stop using webPunk at any time and deactivate your Account in settings. Keep in mind that while we can remove or hide your profile and other data stored off the blockchain, anything recorded on the blockchain (including Wallet addresses, smart contract interactions, or NFT ownership) — cannot be deleted or changed by us.
We reserve the right to suspend or terminate your access to the Services and your Account at any time if:
- you materially or repeatedly breach these Terms;
- we are required to do so to comply with a legal requirement or a court order;
- we reasonably believe that your conduct causes harm or liability to any other user, third party, or us, including by hacking, phishing, or spamming.

6. Acceptable Use and Restrictions
When using the Services, you agree to comply with all applicable laws. By using the Services, you agree, expressly represent, and warrant that your use of the Services is solely for your personal use and that you will not:
- use the Services in any manner that violates any laws or regulations, including infringement of any person's or entity's intellectual property rights;
- use the Services, or any Content accessible through the Services, for any commercial purpose, including but not limited to competing with the Services;
- attempt to or assist anyone to modify, prepare derivative works of, disassemble, decompile, or reverse engineer any part of the Services;
- resell the Services to a third party;
- conduct any systematic retrieval of data or other Content from the Services; copy any Content displayed through the Services for republication in any format or media;
- create or compile, directly or indirectly, any collection, compilation, or other directory from the Content displayed through the Services except for your personal, noncommercial use;
- upload, post, create on our site or share Content containing any advertising or promoting any services or web links to other sites;
- attempt to gain unauthorized access to, damage, disrupt, or interfere with any parts of the Services, or any server, computer, or database connected to the Services; attempt to probe, scan, or test the vulnerability of any part of the Services or breach any security or authentication measures;
- avoid, bypass, remove, deactivate, impair, descramble, or otherwise circumvent any technological measure implemented by us or any of our providers or any other third party to protect the Services;
- upload, transmit, or distribute to or through the Services any viruses, worms, malicious code, or other software intended to interfere with the Services, including its security-related features;
- use the Services in any manner that we reasonably believe to be an abuse of or fraud on us or any payment system.
By agreeing to these Terms, you agree to our Community Guidelines.
7. User Content
You retain ownership of the Content you create and share on webPunk. However, by using our Services, you grant us a worldwide, royalty-free license to host, store, display, and distribute your Content as necessary to operate and promote our Services.
You are responsible for your use of the Services and for any Content you provide, including compliance with applicable laws, rules, and regulations.
We do not warrant the accuracy, completeness, or usefulness of the Content posted via the Services or obtained by you through the Services. Any use or reliance on any Content posted via the Services or obtained by you through the Services is at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by any user of the Services, or by anyone who may be informed of any of its contents.
We do not proactively moderate Content, but we may remove or restrict Content where legally required by a valid court order or applicable authority.
By agreeing to these Terms, you agree to our User-generated Content Disclaimer and Content Moderation Policy.
If you believe that anything on webPunk infringes a copyright or a trademark that you own or control, you may notify us by contacting: support@ael.org.
If we remove your Content in response to a copyright or trademark notice, we will notify you. If you believe your Content was wrongly removed due to a mistake or misidentification in a copyright notice, you can contact us at: support@ael.org.
8. Our Intellectual Property Rights
All rights in the Services, including visual interfaces, graphics, design, compilation, information, data, computer code, products, services, software, branding, and proprietary technologies (e.g. AI scripting), trademarks, and all other elements of the Services provided by us, are owned by us or our licensors.
9. Indemnity
To the fullest extent permitted by law, you agree to indemnify and hold harmless us and our subsidiaries, affiliates, agents, and employees from and against any loss, expense, liability, damage, or claim (including all attorney's fees) arising out of or related to (i) your breach of these Terms, our Privacy Policy, or any other terms or rules published by us on our Website or in our App, (ii) your violation of the rights of third parties, (iii) your use of the Services, (iv) your violation of laws, rules, or regulations in connection with the use of the Services, (v) your Content.
10. Disclaimers and Limitation of Liability
Our liability is limited to the maximum extent permissible by applicable law.
We do not control, endorse, or take responsibility for any Content available on or linked to the Services or the actions of any third party or user.
We attempt to make your access to and use of our Services safe, but we do not represent or warrant that our Services are free of viruses or other harmful components.
We operate as neither a Wallet provider, exchange, broker, financial institution, nor a creditor. We do not control or have custody over the blockchain you interact with.
If you buy a Collectible on webPunk, all financial transactions will be conducted via a designated wallet service, currently Privy. These services are entirely separate from webPunk. You acknowledge that any payment for the purchase of a Collectible will be processed by third-party payment processors or digital wallet providers. These third parties will be responsible for executing any of your transactions. We bear no responsibility for ensuring the functionality of payments and transactions made in connection with webPunk.
When you use features of the platform that involve blockchain operations, you are solely responsible for paying any associated network or gas fees required to complete a transaction. These fees are required by the blockchain network (not by us), and we have no control over their amount, timing, or availability.
In no event will we be liable to you for any indirect, consequential, exemplary, incidental, special, or punitive damages, or lost profits arising from or relating to these Terms or the Services, including those arising from or relating to Content made available on the Services that is alleged to be defamatory, offensive, or illegal. Access to, and use of, the Services is at your own discretion and risk, and you will be solely responsible for any damage to your device or computer system, or resulting loss of data.
11. Changes to these Terms
We may update these Terms at any time. If the changes, in our sole discretion, are material, you will be notified by email or in-app notification 30 days before the Effective Date of the revised Terms. Your continued use of the Services on or after the Effective Date of the revised Terms constitutes acceptance of the revised Terms. If you do not agree with the revised Terms, stop accessing and using our Services before the changes become effective.
12. Jurisdictional Issues
We make no representation that the Services are appropriate or available for use in your jurisdiction. If you choose to access the Services, you do so on your own initiative and are responsible for compliance with any applicable local, state, and federal laws, rules, and regulations.
13. Dispute Resolution
Any dispute, controversy, difference, or claim arising out of or relating to these Terms and our Privacy Policy, including the existence, validity, interpretation, performance, breach, or termination thereof or any dispute regarding non-contractual obligations arising out of or relating to it shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The law of this arbitration clause and the procedural law of the arbitration shall be English law. The seat of arbitration shall be London, UK. The number of arbitrators shall be one. Unless there are strong reasons to the contrary, the arbitration shall be by documents only and any procedures shall be held virtually. The arbitration proceedings shall be conducted in English. The service of any documents shall be made by emails. For these purposes, the user's email address is the email address the user used for registering an Account, and our email address is support@ael.org.
14. Miscellaneous
The division of these Terms into sections and the headings of these sections are for convenience of reference only and shall not affect the construction or interpretation of these Terms.
These Terms, together with the Privacy Policy, and all other documents incorporated in these Terms by reference, constitute the entire agreement between the parties relating to these Terms and supersede any advertising or marketing material or any statements on webPunk that are contrary to these Terms, as well as any previous negotiations, proposals, understanding, or agreements, express or implied.
These Terms, all other documents incorporated in these Terms by reference and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with these documents or their subject matter, shall be governed by, and construed in accordance with, the law of England and Wales, including the entirety of its conflict of laws provisions.
Our failure to exercise or enforce any right or provision of these Terms will not operate as a waiver of such right or provision.
If any provision of these Terms shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these Terms, and shall not affect the validity and enforceability of any remaining provisions.

You grant us a non-exclusive, transferable, worldwide, perpetual, irrevocable, sub-licensable (through multiple tiers), fully-paid, royalty-free license to use, copy, modify, create derivative works based upon, and otherwise exploit for any purpose the Feedback you provide us.
